Welcome to PS Commercial. By accessing or using our website or engaging our services, you agree to the following Terms and Conditions.

1. Definitions

  • "Company," "we," "our," or "us" refers to PS Commercial.

  • "Client," "you," or "your" refers to any business or individual engaging our services.

  • "Services" means the consultancy, advisory services, assessments, reports, recommendations and related materials provided by PS Commercial.

2. Services provided

PS Commercial provides commercial strategy, operational effectiveness, organisational design and advisory services, including but not limited to Commercial Diagnostics, performance assessments, operating model reviews, leadership alignment initiatives and related consultancy services.

All services are provided in accordance with an agreed scope of work, proposal or contract.

3. Use of services

Clients agree to provide accurate, complete and timely information required for the delivery of our services.

You must not misuse our services or use any materials provided by PS Commercial for unlawful purposes.

4. Fees and payment

Fees will be outlined within a proposal, statement of work or contract.

Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date.

We reserve the right to charge interest on overdue payments in accordance with applicable law.

5. Intellectual property

All reports, recommendations, methodologies, frameworks, presentations and materials produced by PS Commercial remain the intellectual property of PS Commercial unless otherwise agreed in writing.

Clients are granted a non-exclusive, non-transferable licence to use deliverables for their internal business purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of any non-public, commercially sensitive or proprietary information shared during an engagement.

This obligation will continue after the completion or termination of the engagement.

7. Liability

PS Commercial provides advisory and consultancy services based on information available at the time of engagement.

While reasonable care is taken in providing recommendations and advice, we do not guarantee specific commercial outcomes.

To the fullest extent permitted by law, PS Commercial shall not be liable for any indirect, incidental or consequential losses arising from the use of our services.

Our total liability shall not exceed the fees paid by the client for the relevant engagement.

8. Termination

Either party may terminate an engagement by providing written notice in accordance with the applicable proposal or contract.

Clients remain responsible for payment for all services delivered up to the date of termination.

9. Changes to terms

We reserve the right to amend these Terms and Conditions from time to time.

The latest version will always be available on our website.

10. Governing law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
